Terms & Conditions

1. Definitions
"We, Our or Us" means Screenlink Sound & Vision.
"Catalogue" means online catalogue in electronic form in which these Conditions are set out.
"Conditions" means these terms and conditions.
"Contract" means any contract between Screenlink Sound & Vision and the Customer for the sale and purchase of Goods and/or services.
"Customer" means any person, company or organisation that places an order with  Screenlink Sound & Vision for goods and/or services.
"Goods" means any goods and/or services supplied or to be supplied by Screenlink Sound & Vision to the Customer.
"In Writing" means by Post and/or electronic communications.

2. Conditions
All orders are accepted by Screenlink Sound & Vision subject to and in accordance with these Conditions. These Conditions override and exclude any terms or conditions that may be referred to in any negotiations or in the course of any dealings between Screenlink Sound & Vision and the Customer or set out in the Customer's standard terms and conditions. If there is any conflict between the provisions of the order and these Conditions, these Conditions will prevail unless Screenlink Sound & Vision agrees otherwise in writing. These terms and conditions are updated from time to time. Together with any terms accepted by Us in connection with an order, these Conditions constitute the entire agreement between Screenlink Sound & Vision and the Customer in relation to the Goods ordered. No variation to these Conditions is permitted unless expressly authorised in writing by Screenlink Sound & Vision.

3. Prices
Prices for Goods are in £ sterling and shown both inclusive and exclusive of VAT. Screenlink Sound & Vision has used all reasonable endeavours to ensure that the prices shown are correct but reserves the right to change its prices without notice at any time. Prices charged will be those prevailing when an order is accepted.

4. Payment
Payment is due on placement of any order. Payment can be made by cheque or electronic means (PayPal, Visa or Mastercard), if payment is made by cheque, goods will not be dispatched until funds have cleared.
Screenlink Sound & Vision reserves the right to pass any outstanding customer accounts to a debt recovery service after giving reasonable notice. Overdue accounts will be charged interest at a rate of 2% per month, so long as the account is overdue. Any costs incurred by Screenlink Sound & Vision or agent operating on behalf of Us in the pursuit of recovering monies owed, will be added to the customer's account on an indemnity basis. This will include costs for correspondence, legal notices and dishonoured cheques.

6. Orders
Screenlink Sound & Vision reserves the right to decline any order from any person, company or organisation where We consider it reasonably necessary for security or fraud prevention purposes.
All orders must be placed electronicaly or in writing.
Once accepted, no order may be cancelled without the prior written agreement of Screenlink Sound & Vision.
Orders for Goods are accepted by Screenlink Sound & Vision by despatching the Goods provided, however, that despatch will not be acceptance where the price for the Goods has been incorrectly quoted or referenced by the Customer in its order. At the date of issue of these Conditions, the following postage/handling charges apply:
Orders up to 750g - 1st class £2.95, 2nd class £2.45.
Orders between 750g & 1000g - 1st class £4.55, 2nd class £3.75.
Orders between 1000g & 1250g - 1st class £5.85.
Orders between 1250g & 1500g - 1st class £6.75.
Orders between 1500g & 1750g - 1st class £7.65.
Orders between 1750g & 2000g - 1st class £8.50.
Orders between 2000g & 4000g - 1st class £10.55.
Charges are subject to VAT and are based on weight as well as volume. 2nd class postage is only available up to 1000g. All orders over £10.00 (ex VAT) are only sent by recorded delivery and £0.95 will be added to the delivery cost. The exact delivery charge can be obtained by going to the shopping cart. We reserve the right to amend these charges at any time.

7. Delivery
Screenlink Sound & Vision will use all reasonable endeavours to despatch Goods on the same day that the order is placed if ordered before 3pm Monday to Friday, subject to stock availability. Deliveries are subject to the postage/handling charges referred to in condition 6 above. We reserve the right to amend our policy on delivery charges at any time and to pass on any fuel surcharges imposed on Us. We reserve the right to levy an additional charge for delivery of heavy or bulky items, in such cases the Customer will be notified prior to despatch.
Delivery will be made to the address specified by the Customer provided it is in the UK.
We may use any method of delivery available to Us. We will use reasonable endeavours to meet delivery or performance estimates but, except as set out in 8 below, in no circumstances shall We be liable to compensate the Customer for non-delivery, non-performance or late delivery or performance. Any time quoted for delivery or performance is estimated and not a guarantee.
Screenlink Sound & Vision reserves the right to delay despatch of Goods for various reasons, including to perform any necessary credit or anti-fraud checks or procedures or to ensure that cleared payment has been received in full. Where despatch is delayed for such reasons We will use reasonable endeavours to inform the Customer.

8. Inspection, defects and non delivery
The Customer must inspect the Goods as soon as reasonably practicable after delivery or, in the case of Services, the performance and, except as set out in 15 below, Screenlink Sound & Vision shall not be liable for any defect in the Goods unless written notice is given to Us within 10 days of such date. Where software forms part of the Goods, it is the Customer’s responsibility to check for the presence of computer viruses before the Goods are used.
The quantity of any consignment of Goods, as recorded by Screenlink Sound & Vision upon despatch from our place of business, shall be conclusive evidence of the quantity received by the Customer on delivery, unless the Customer can provide conclusive evidence to the contrary. We will not be liable for any non-delivery of Goods or non-performance of Services unless written notice is given to Us within 5 days of the date when Goods should have been delivered. Subject to 16(i) below, any liability of Screenlink Sound & Vision for non-delivery or non performance or for Goods notified as defective on delivery or Services notified as defective following performance in accordance with this Condition 8 will be limited to replacing the Goods or re-performing the Services within a reasonable time or to refunding the price then paid in respect of such Goods.

9. Returns
Except as detailed in Condition 10 below, no order can be cancelled or accepted for credit without the prior written agreement of Screenlink Sound & Vision. If cancellation/credit is accepted by Us, the Customer must obtain a returns authorisation number from Us prior to returning the Goods. Goods must then be returned, at the Customer's risk and expense within 7 days of their delivery by Us and must be undamaged, in re-saleable condition and in original packaging including any of Screenlink Sound & Vision's outer packaging. The Customer should return the Goods to "The Returns Department, Screenlink Sound & Vision, Unit 6, Shrivenham Hundred Business Park, Swindon Wilts, SN6 8TZ" quoting the Customer's order number. The Customer is responsible for returning Goods to Screenlink Sound & Vision and for providing proof of delivery of such return. Certain Goods are excluded from this right of return, including software, manuals which have been opened and specially constructed items. Goods returned after 7 days as 'unwanted' or 'incorrectly ordered' may be accepted at the discretion of Screenlink Sound & Vision but will be subject to a restocking fee of 30% of the invoice value of the Goods. Goods that consist of software, are specially constructed or contain any of the hazardous substances referred to in the Directive 2002/95/EC on the Restriction of the Use of Certain Hazardous Substances in Electrical or Electronic Equipment may not be returned under this Condition 9. Any Goods which are nonstock items cannot be returned under this Condition 9. Any static-sensitive Goods supplied in sealed packaging may not be returned if the blister or 'peel' packs in which they are supplied have been opened, tampered with or damaged.

10. Distance selling regulations
If the Customer is buying as a 'consumer', as defined in The Distance Selling Regulations 2000, the Customer may (except for software that has been unsealed by the Customer) return the Goods within 7 working days (excluding Saturday and Sunday and Bank Holidays) of their delivery, providing that they have taken reasonable care of the Goods and returns the Goods complete, undamaged, and with their original packaging including Screenlink Sound & Vision's outer packaging and be refunded the price paid in respect of them. To return Goods on this basis, the Customer must notify Screenlink Sound & Vision in writing, obtain a "Retun Authorisation Number" (RAN) and return the Goods to " The Returns Department, Screenlink Sound & Vision, Unit 6, Shrivenham Hundred Business Park, Swindon Wilts, SN6 8TZ " quoting the Customer's order number. Goods must be returned first class with proof of posting with the Customer being responsible for all postage costs. In respect of certain Goods We may prefer to arrange the collection and, if requested, the Customer will allow Us to collect the Goods and assist in the arrangements for the collection of the Goods. All reasonable costs of collection will be paid by the Customer. The Customer is responsible for the care and custody of the Goods pending return or collection. Following receipt of Goods which comply with this Condition 10, We will refund to the Customer the price paid in respect of the Goods.

11. Description
All specifications, drawings, illustrations, descriptions and particulars of weights, dimensions, capacity or other details, including any statements as to compliance with legislation or regulation wherever they appear (including despatch notes, invoices or packaging) are intended to give a general idea of the Goods, but will not form part of any Contract. If the Descriptions of any Goods differ from the manufacturer's description, the latter shall be deemed to be correct. Screenlink Sound & Vision will take all reasonable steps to ensure the accuracy of descriptions but accepts no liability in contract or tort or under statute or otherwise for any error or omission in such detail whether caused by the Screenlink Sound & Vision's negligence or otherwise. Screenlink Sound & Vision may make changes to the Goods as part of a continuous programme of improvement or to comply with legislation.

12. Risk and ownership
The risk of damage to or loss of Goods will pass to the Customer when the Goods are unloaded from Our carrier at the Customer's premises or where directed by the customer. Equitable and beneficial ownership of Goods supplied shall remain with Screenlink Sound & Vision until full payment has been received and cleared. The customer gives Screenlink Sound & Vision or its agent, irrevocable access to any property occupied or owned by the customer at any time to remove or reposse any goods supplied by Screenlink Sound & Vision if payment has not been received in full. Until ownership passes to the Customer, the Customer must hold the Goods on a fiduciary basis as Screenlink Sound & Vision's bailee.
This Catalogue remains at all times the sole and exclusive property of Screenlink Sound & Vision.

14. Performance and fitness for purpose
Unless any performance figures, tolerances or characteristics have been specifically and expressly warranted by Screenlink Sound & Vision in writing, We accept no liability for any failure of the Goods to comply with such criteria, whether attributable to the Screenlink Sound & Vision's negligence or otherwise. The responsibility for ensuring that Goods are sufficient and suitable for a particular purpose is the Customer's. Any advice or recommendation given by an employee of Screenlink Sound & Vision which is not confirmed in writing is acted on entirely at the Customer's risk and We shall not be liable for any such advice or recommendation. Except as set out in Condition 16 (i),, the liability of Screenlink Sound & Vision to the Customer, should any warranty, statement, advice or recommendation confirmed in accordance with this Condition 14 prove to be incorrect, inaccurate or misleading, will be limited to the refund of the price paid for the Goods or, at Our option, the supply of replacement Goods which are sufficient and suitable.

15. Warranty/Guarantee
Screenlink Sound & Vision endeavour to transfer to the Customer the benefit of any warranty or guarantee given by the manufacturer of Goods, which may vary in duration. It is the Customer's responsibility to check at the time of purchase as to the applicability of the terms of any manufacturer's guarantee. Where a guarantee is provided, We will, free of charge, repair or, at Our option, replace Goods or, in the case of Services, re-perform Services which are proved to the reasonable satisfaction of Screenlink Sound & Vision to be damaged or defective due to faulty materials, workmanship or design. If the Goods are found by Us not to be damaged or defective then We will be entitled to return the Goods to the Customer at the Customer's sole expense. Software programs are supplied on the strict understanding that Screenlink Sound & Vision does not warrant their function to be free from defects or error.
Our Warranty/Guarantee obligation will not apply if:
i. The defect arises because the Customer has altered or repaired such Goods without the written consent of Screenlink Sound & Vision.
ii. The the Customer did not follow the manufacturers' instructions for storage, usage, installation, use or maintenance of the Goods.
iii. The Customer has failed to notify Us of any defect in accordance with Condition 8 where the defect should have been reasonably apparent on reasonable inspection.
iv. The Customer fails to notify Us of the defect within 12 months (or such other period as Screenlink Sound & Vision shall specify at the time of acceptance of the order for the Goods) of the date of despatch of the Goods or performance of the Services.                                                                                                                                                             Any replacement or repaired Goods under this Condition 15 will be guaranteed on these terms for any unexpired portion of the period of guarantee given on the original Goods. Any Goods which have been replaced will belong to Screenlink Sound & Vision.
Except as set out in 16 (i) below and 8 above, this Condition is Screenlink Sound & Vision's sole obligation and the Customer's sole remedy for defective Goods and is accepted by the Customer in substitution for all express or implied representations, conditions or warranties, statutory or otherwise, as to the satisfactory quality, fitness for purpose or performance of the Goods (or any materials used in connection therewith) or the standard of workmanship of the Services and all such representations, conditions and warranties are excluded.

16. Liability
Screenlink Sound & Vision does not exclude its liability to the Customer:
. For breach of Our obligations under section 12 Sale of Goods Act 1979 or section 2 Sale and Supply of Goods and Services Act 1982.
. For personal injury or death arising as a result of the Screenlink Sound & Vision's negligence.
. Under section 2(3) Consumer Protection Act 1987.
. For breach of the statutory implied conditions in sections 13,14 and 15 of the Sale of Goods Act 1979 where the Customer deals as a 'consumer' as defined in the Unfair Contract Terms Act 1997.
. For any matter which it would be illegal for Screenlink Sound & Vision to exclude or to attempt to exclude its liability.
. For fraud, including fraudulent misrepresentation.
And nothing in these Conditions shall affect the statutory rights of a Customer who deals as a consumer as defined in the Unfair Contracts Terms Act 1997 (ii) Except as provided in Conditions 8 (inspection, defects on delivery and non delivery), 14 (performance and fitness for purpose), 15 (Warranty and Guarantee) and this Condition 16 above,  Screenlink Sound & Vision will be under no liability to the Customer whatsoever (whether in contract, tort, (including negligence), breach of statutory duty, restitution or otherwise) for any injury, death, damage or direct or indirect or consequential loss (all of which terms include, without limitation, pure economic loss, loss of profits, loss of business, loss of use, loss of data, computer downtime, depletion of goodwill, business interruption, increased purchasing or manufacturing costs, loss of opportunity, loss of contracts and like loss) howsoever caused or arising out of or in connection with:
. Any of the Goods, or the manufacture, sale, performance or supply or failure or delay in performance or supply of Goods by Screenlink Sound & Vision or on part of Our employees, agents or sub-contractors; . Any breach by the Company of any of the express or implied terms of the Contract;
. Any use made or resale or on-supply of any of the Goods or any product incorporating any of the Goods or developed using the Supplies;
. Any acts or omissions of Screenlink Sound & Vision at Our premises;
. Any statement made or not made or advice given or not given by or on behalf of Screenlink Sound & Vision or otherwise under the Contract.
Screenlink Sound & Vision hereby excludes to the fullest extent permissible at law all conditions, warranties and stipulations, express (other than those set out in these Conditions or given in accordance with Condition 14) or implied, statutory, customary or otherwise which but for such exclusion, would or might subsist in favour of the Customer.
Save as set out in condition 16(ii) the Company's total liability in contract, tort, (including negligence), breach of statutory duty, misrepresentation or otherwise shall be limited to repairing or replacing Goods or in the case of Services, re-performing the Services or, at Our option, refunding monies already paid in respect of the Goods. Each of the Company's employees, agents and subcontractors may rely on and enforce the exclusions and restrictions of liability in Conditions 8, 11, 14, 15 and 16 in that person's own name and for that person's own benefit.

17. Intellectual property rights
The Goods in Our Catalogue may be subject to the intellectual and industrial property rights including patents, knowhow, trademarks, copyright, design rights utility rights, database rights and or other rights of third parties. No right or licence is granted to the Customer, except the right to use or re-sell the Goods in the Customer's ordinary course of business. Screenlink Sound & Vision shall have no liability whatsoever in the event of any claim of infringement of any such rights howsoever arising. In particular, without limiting the above, title in any software program forming part of the Goods is reserved to  Screenlink Sound & Vision and/or its suppliers. The Customer is responsible for informing itself of the terms of its licence or use and paying any royalty payable. Such programs may only be used with the Goods.
Screenlink Sound & Vision owns full copyright in respect of this Catalogue and its reproduction in whole or part is prohibited without Our written consent.

18. Use of personal data
"Personal Data" means, in relation to any Customer, or any representative of a Customer who is a living individual, any data from which Screenlink Sound & Vision can identify that Customer or that representative, regardless of how and when that data is provided. We may process Personal Data in a number of ways in conection with these Conditions or in the context of the relationship between Us and the Customer including:
i. Deciding whether to enter into any contract or arrangement with that Customer. This may include conducting credit reference searches, against a Customer or its representatives and the disclosure of information to the relevant agency as to how that Customer conducts its account and other anti fraud or identity checks.
ii. Order fulfillment, administration, customer services, profiling the Customer's purchasing preferences, and to help to review, develop and improve Our business and the goods we offer.
iii. Direct marketing of Screenlink Sound & Vision's Goods that may be of interest to the Customer, whether by post, email, or otherwise.
iv. Development of Screenlink Sound & Vision's business, including its transfer to another owner.
v. Crime prevention or detection.
vi. The disclosure of  Personal Data to Our service providers and agents.
If, at any time, the Customer does not wish their Personal Data to be used for any of the purposes above, they should contact the Sales Manager or notify any of Our sales representatives if placing an order by phone. For more information on Our use of personal data please see Our privacy policy.
Screenlink Sound & Vision is required by law to notify the TV Licensing Authority of the sale of a television set, giving full details of the purchaser. The Customer will be deemed to have accepted that We will pass on the Customer's details to the TV Licensing Authority at the time of purchase.

19. Promotions
In the event that Screenlink Sound & Vision sends promotional material to the Customer in relation to Goods available from the Us, these Conditions shall apply to all Goods purchased from such material.

20. Country of origin
Unless otherwise confirmed by Screenlink Sound & Vision in writing, nothing on Our website is to be taken as representation of the source of origin, manufacturer or production of the Goods or any part of them.

22. Export
Orders for delivery outside the UK will not be accepted and orders will only be fulfilled to a validated UK address.

23. Age requirements for certain goods
Where the law requires a minimum age for the purchase of certain Goods, the Customer confirms that he or she is over the required age and that delivery of the Goods will be accepted by a person over the relevant age limit.

25. Force majeure 
Screenlink Sound & Vision shall not be liable to the Customer in any manner or be deemed to be in breach of these Conditions due to any delay or failure to perform any of Our obligations under this Contract if the delay or failure was due to any cause beyond Screenlink Sound & Vision's reasonable control (including, but not be limited to government actions, war, fire, explosion, flood, import or export regulations or embargoes, labour disputes or inability to obtain or a delay in obtaining supplies of Goods or labour).Screenlink Sound & Vision may, at its option, delay the performance of, or cancel the whole or any part of a Contract.

26. Recording of communications
Screenlink Sound & Vision reserves the right to monitor or record telephone calls and may monitor email or other electronic communications made to its premises for training, security and quality purposes.

27. Legal construction
All Contracts shall be governed by and interpreted in accordance with English law and the Customer submits to the jurisdiction of the English Courts.

28. General
This Contract shall not be assigned by either party without first ensuring that the person to whom the benefit or burden is assigned agrees to be bound by the terms of this Contract. Except as set out in Condition 16, the parties to the Contract do not intend that any of its terms will be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person not a party to it. These Conditions supersede all previous issues.
